Capture the certificate, expiration date, and filing history

Search the Secretary of State charity record and save the legal name, registration number, certificate status, expiration date, last accepted period, and any pending submission. Compare that evidence with portal notices and organization email. A lapsed public entry can reflect an expired certificate or an incomplete package, so diagnose the actual filing state before starting another transaction.

Create a timeline from the last certificate through today. Include each solicitation, online donation channel, professional fundraiser, Mississippi contribution, pledge, renewal attempt, signature request, payment, and state message. Keep the charity registration separate from Mississippi’s nonprofit corporation annual report; the Secretary of State expressly describes them as different requirements.

Prepare the Affidavit of Solicitation for the full expired period

Mississippi’s current rules and online instructions add an Affidavit of Solicitation when a renewal arrives after the Certificate of Registration expired. The disclosure period starts on the expiration date and ends when the Division receives a complete renewal package. Report donations pledged and donations received from Mississippi residents. If no solicitations occurred, the affidavit must affirm that fact for the period.

Reconcile the affidavit to fundraising-platform exports, bank deposits, campaign records, restricted-gift records, and professional-fundraiser reports. Do not estimate from national revenue or report only cash received if Mississippi pledges also belong in the disclosure. The president or other authorized officer and the chief fiscal officer or treasurer sign the affidavit through the state’s electronic process.

The official instructions identify a reviewed financial statement for the stated mid-level donation band and a cash-basis audit for the larger band or certain paid-fundraising situations. Control solicitation while the registration is expired

The Mississippi Charities Act says a registered organization may not continue soliciting after it should have filed but failed to file the renewal and financial report. An expired organization therefore needs a fundraising decision tied to the official status and any written Charities Division direction. Removing one campaign does not change what occurred during the already expired period.

If the organization no longer intends to solicit, use the state’s final-report process instead of leaving the record unresolved. That route has its own financial, tax, dissolution, or cessation materials. Do not use a final report to avoid disclosing solicitations that already occurred, and do not file a renewal merely to close an organization that has actually ended activity.

Preserve payment, acceptance, and the restored certificate

After both electronic signatures are received, the filing moves to payment. Save the signed renewal, affidavit, attachments, signature confirmations, payment receipt, portal confirmation, and every deficiency response. A submission can remain incomplete when a signature, attachment, financial report, contract, or payment is missing, even if the organization started the online form before the deadline.

Recovery is supported by the Division’s acceptance and an updated certificate or public record, not the account-creation screen. Record the new expiration date and calendar an earlier extension decision for the next cycle.
