Separate the nonprofit and charitable-organization records

North Dakota requires the organization to register as a nonprofit with the Secretary of State before filing the Charitable Organization Registration Statement. A foreign nonprofit may need the appropriate out-of-state nonprofit authority. These entity steps are separate from the charity filing tied to solicitation.

Attach a financial report detailing operations for the 12 months immediately before the statement. If no financial information is available, the Secretary of State requires a statement explaining that it is not available. Use the prescribed route for a new organization rather than inventing a zero-activity financial report.

Pay $25 and wait for approval

The current initial registration fee is $25. Preserve the final FirstStop filing, attachments, payment, and correspondence. A charitable organization cannot operate and solicit contributions until the registration has been approved and is on file with the Secretary of State, so a dashboard draft or payment receipt is not the launch signal.

After approval, confirm the organization through the FirstStop charitable-organization records search. Save the approved record and public result. Coordinate any professional fundraiser registration separately and keep solicitation names and contribution-use descriptions consistent with the accepted statement.

Install both annual-report controls

A nonprofit with charitable registration files two separate annual reports: the nonprofit annual report and the charitable organization annual report. The charity report is due September 1. If the initial charity registration is filed in July or August, the first charitable report is due September 1 of the following year.

The charity report fee is $10 and includes financial information. Registration does not expire automatically, but it can become inactive when the annual charity report is missed, and solicitation must stop. Record both report owners, the September 1 date, any timely extension request, public status, and the distinct reregistration path for an inactive record.
