North Dakota does not label this maintenance step as a registration expiration. Instead, a registered charity files a separate Charitable Organization Annual Report by September 1 through FirstStop. The $10 report, current organization data, fundraiser disclosures, and a twelve-month financial statement sit alongside—but do not replace—the nonprofit corporation annual report.

Run two North Dakota annual-report calendars

The Secretary of State expressly separates the Nonprofit Annual Report from the Charitable Organization Annual Report. A nonprofit with charitable registration generally files both. Keep two task owners, transaction names, deadlines, fees, and confirmation records so a corporation report is never mistaken for the charity report.

The charity report is due on or before September 1 each year. If the initial charitable registration was filed in July or August, the first charity report is due September 1 of the following year. Confirm the FirstStop record and first due year; do not infer it from the nonprofit anniversary or the federal return date.

Build the annual report from the current organization record

The Secretary of State lists the organization name, principal and mailing addresses, telephone number, reporting date, and professional fundraiser names, compensation, and fundraising profit among the annual-report items. Reconcile the answers to the initial registration, current corporation record, contracts, payroll or vendor records, and fundraising campaign results before opening the portal transaction.

A change in name, address, fiscal year, fundraiser relationship, or corporation standing may need attention outside the annual report as well. Preserve the supporting decision and update the appropriate record rather than forcing every change into one filing. The charitable registration must remain connected to an active, good-standing business registration.

Attach one qualifying twelve-month financial statement

The annual charity report includes a financial statement covering the twelve months immediately before the end of the prior fiscal year. The state allows selected pages from Form 990—pages 1, 9, 10, and 11—or similar records containing the statutory income, expense, balance-sheet, functional-expense, out-of-state transfer, North Dakota distribution, and compensation information.

Choose one supported route and make the reporting period explicit. Reconcile receipts, program, management, fundraising, public education, transfers, and compensation across the attachment and portal answers. Upload only the requested pages or state-prepared alternative; a full donor schedule or unrelated tax workpaper is not the default annual-report requirement.

Use the FirstStop extension before September 1 when needed

If the report cannot be completed by September 1, the extension request must reach the Secretary of State through FirstStop before the deadline. North Dakota may grant a one-year extension or, for organizations with June, July, or August fiscal year ends, a standing extension. The filing date may not be moved past December 1.

Record the extension request, approval, revised due date, and document plan. Do not treat a federal Form 8868 or an internal due-date change as the state request. The extension does not merge the separate nonprofit annual report into the charity report, and it does not excuse maintaining current organization information.

Recover an inactive charity registration deliberately

North Dakota says the charitable registration does not expire, but failure to file the annual charity report makes it inactive and the organization may not solicit. To become registered again, the organization files the annual report with the most recent financial statement and $10 fee, plus a Charitable Organization Reregistration Statement with the most recent financial statement and $25 fee.

Confirm the inactive period, both required transactions, and corporation standing before fundraising resumes. Save each FirstStop confirmation, payment, uploaded financial statement, and updated public result.
